Terms of Service
The agreement between you and Flip Ops for use of the service. Please read carefully — using the service means you accept these terms.
Acceptance
These Terms of Service (the “Terms”) govern your access to and use of Flip Ops, a parcel-intelligence service for real-estate investors (the “Service”). By creating an account, signing in, or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
Access
The Service is offered as a closed beta. Access is invitation-only and may be granted, declined, suspended, or revoked at our sole discretion. You must be at least eighteen years old and able to enter into a binding contract. You are responsible for the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.
The Service is informational only
The Service aggregates and analyzes information from public records and from imagery and analytical sources we determine to be appropriate, and presents the results to you in the form of scores, rankings, signals, value estimates, offer ranges, and similar outputs. Those outputs are predictions and approximations, not facts.
Nothing the Service produces constitutes an appraisal, inspection, title opinion, legal advice, tax advice, accounting advice, investment advice, brokerage service, or professional opinion of any kind. You should independently verify any data point on which you intend to rely and retain licensed professionals for transactional decisions. Your use of the Service is at your sole risk.
Acceptable use
You agree not to, and not to permit any third party to:
- scrape, mirror, redistribute, sublicense, or resell the Service or its outputs;
- use the Service to harass, intimidate, threaten, or unlawfully contact property owners, occupants, or any other person;
- initiate marketing or solicitation communications in a manner that violates applicable telemarketing, anti-spam, or commercial-message laws;
- use the Service in connection with redlining, steering, blockbusting, predatory targeting, or any decision prohibited by fair-housing, fair-credit, or anti-discrimination law;
- reverse-engineer, decompile, or attempt to extract source code, model parameters, or proprietary scoring logic;
- use the Service to develop a competing product, to train a machine-learning model, or to populate a third-party dataset;
- interfere with, disrupt, or evade rate limits, authentication, or other technical controls of the Service; or
- use the Service in violation of any applicable law, regulation, or third-party right.
Public records
A material portion of the information shown in the Service originates from government public-records systems. We make no representation as to the accuracy, completeness, or currency of such information, and we do not assert ownership of public-record content itself. You are solely responsible for ensuring that any downstream use you make of such information complies with the source agency’s terms and with applicable law, including any restrictions on commercial use of public records.
Intellectual property
As between you and us, we own and retain all right, title, and interest in and to the Service, including its software, designs, models, scoring logic, weight configurations, aggregated analytics, and derivative outputs. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal real-estate evaluation activities. No other rights are granted by implication, estoppel, or otherwise.
Feedback
If you submit feedback, suggestions, or improvement ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without obligation to you.
Beta status
The Service is provided as a closed beta. Features may change, regress, or be removed without notice. We may modify, suspend, throttle, or terminate access at any time for any user and for any reason.
No warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY OUTPUT OF THE SERVICE WILL BE ACCURATE, COMPLETE, OR REPRESENT A SOUND INVESTMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY.
Indemnification
You will defend, indemnify, and hold us harmless from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service, (b) your breach of these Terms, (c) any contact with or action you take toward any person identified through the Service, or (d) your violation of any law or third-party right.
Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time and for any reason, including any actual or suspected violation of these Terms. Sections that by their nature should survive termination will survive.
Changes
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you through the Service. Your continued use of the Service after the update constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Leon County, Florida, and you consent to personal jurisdiction and venue there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us with respect to the Service. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver of the right to enforce it later. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
